                               ALLIANCE FRANÇAISE du NORTH SHORE

 

                                                                BYLAWS

as of November, 2006

 


 

 

                                                         ARTICLE I - Name

 

            The Alliance Française du North Shore is organized in accordance with the bylaws of the "Alliance Française de Paris" created in 1883, to encourage and further the knowledge of the French culture and language and to foster friendly relations between the American and francophone people.

 

            Furthermore, it is to be operated as a non-profit, non-political, non-discriminatory organization which complies with applicable federal and state non-profit tax laws and regulations.

 

                                        ARTICLE II - Relations with the Federation

 

            Section 1.  The Alliance Française du North Shore shall be affiliated with the Federation of Alliances Françaises USA, Inc., the offices of which were located at Milwaukee, WI.

             Section 2.  The organization shall pay the Treasurer of the Federation of Alliances Françaises USA, Inc., the appropriate yearly sum required for membership in the Federation of Alliances Françaises USA, Inc.

 Section 3.  No person or group shall be entitled to use the name and logotype of the Alliance Française without the prior consent of the Federation of Alliances Françaises USA, Inc., and of the Délégation générale de l'Alliance Française de Paris.

 

                                                   ARTICLE III - Membership

 

            Section 1.  Membership in the Alliance Française du North Shore shall be of two classes:  active and honorary.

 Section 2.  Honorary membership shall be conferred by a majority vote of the Board.

 

                                                        ARTICLE IV - Dues

 

            Section 1.  The fiscal year of the club shall end May 31st of each year.  Dues of active members shall be set by the Board according to the financial needs of the club. Honorary members shall pay no dues.

 Section 2.  All new active members admitted on or after February first shall pay dues based on 50% of regular dues.

 Section 3.  Members should be strongly encouraged to pay their dues before the first meeting of the fall.  New members are welcomed at any time.

 

                                                       ARTICLE V - Officers

 

            Section 1.  The officers shall be a president or co-presidents, one or more vice presidents in charge of programs, a corresponding secretary, a treasurer, and at least one director for each committee. They shall be elected for a term of one year.  They may serve for more than one term.  

                                               ARTICLE VI - Duties of Officers

 

            Section 1.  The president shall preside at all meetings of the club and of the Board.

  Section 2.  In the absence or inability of the president, the vice president(s) shall assume the duties of the president.

  Section 3.  The vice president(s) in charge of programs shall provide the program for each meeting with the approval of the president.

  Section 4.  The corresponding secretary shall send out all notices to members, conduct the correspondence of the club, attend to all printing, and keep membership list.

  Section 5.  The publicity chairperson will send out publicity releases.  The web site is a publicity activity.

  Section 6.  The treasurer shall collect and be custodian of the funds of the club and shall disburse them upon the approval of the president(s).  The treasurer shall keep an itemized account of the receipts and expenditures, and shall present a report at each Board meeting and to the club at the annual meeting.

 

                                                       ARTICLE VII - Board

 

            Section 1.  The Board shall consist of the officers named in Article V, Section 1, together with the chairpersons of the standing committees.

  Section 2.  The general management of the club shall be administered by the Board. Members desiring to initiate changes in policy shall present their views in writing to the Board.

 

                                            ARTICLE VIII - Standing Committees

 

            Each committee shall consist of a chairperson and as many members as necessary.

 

            Section 1.  The hospitality committee shall greet people at the door, making sure that new members and guests are welcomed.

  Section 2.  The refreshments committee shall secure members to provide refreshments for each meeting.

  Section 3.  The publicity committee shall handle all publicity.

  Section 4.  The library committee shall be custodian of the club's books.

  Section 5.  The nominating committee shall present the slate of the club's officers at the March meeting. This committee shall also appoint the chairpersons for the ad hoc committees.

  Section 6.  The audit committee shall consist of the treasurer and president(s) who shall examine the accounts of the treasurer each year.

 

                                                      ARTICLE IX - Elections

 

            Section 1.  The officers and chairpersons of the standing committees shall be elected according to Article V, Section 1.

 

                                                      ARTICLE X - Meetings

 

            Section 1.  The club shall meet once or more times per month from fall through spring to be determined by the board each spring.

  Section 2.  The board shall meet at least twice a year, or whenever the president(s) shall deem it necessary.  A majority shall constitute a quorum. 

  Section 3.  The first meeting in April shall be the time the officers for the ensuing year shall be elected.

  Section 4.  A guest fee shall be paid by any nonmember attending a meeting.

 

                                                   ARTICLE XI - Amendments

 

            Section 1.  These bylaws may be amended by a two-thirds vote at any regular meeting of the club, notice of the proposed change or changes having been given at the preceding meeting.
